Terms & Conditions
Welcome to CleverBrands. These Terms & Conditions explain how our website and services operate and set out the general conditions for working with us.
Website: https://cleverbrands.co
1. Our services
CleverBrands offers website design, website redesign, AI solutions, business automation, website maintenance, and ongoing support services.
We work with businesses and individual clients.
The services, deliverables, fees, and responsibilities for each paid project will be defined in an accepted proposal or separate agreement.
2. Website information and estimates
The content on this website provides general information about our services.
Any displayed starting prices are indicative and do not constitute a binding offer for a specific project.
Before paid work begins, we will provide a proposal outlining the agreed scope, price, expected deliverables, and any relevant third-party costs.
We do not guarantee specific increases in enquiries, revenue, search rankings, or business performance.
3. Free website concepts
For suitable enquiries, CleverBrands may provide a complimentary, personalized website design concept.
The initial concept is offered without obligation to purchase a paid service.
Unless expressly agreed otherwise in writing, all rights to free website concepts remain with CleverBrands.
Free concepts are provided for private evaluation only. Recipients may not copy, publish, reproduce, resell, distribute, or have another provider implement the design without our prior written permission.
A free concept is not a commitment to deliver a complete working website.
4. Proposals and project agreements
A paid project begins when the client accepts the applicable proposal, satisfies any required payment conditions, and the agreed commencement requirements are met.
The proposal defines what is included and takes precedence over these general Terms where an expressly agreed provision differs, provided it is legally valid.
Changes to the agreed scope may require a separate quotation and approval.
5. Payment
Unless otherwise agreed in writing, CleverBrands requires 100% upfront payment for website design and AI implementation projects.
Payment is due only after a client accepts a paid proposal. Requesting a free website concept does not create a payment obligation.
Hosting, domains, third-party software, AI usage, taxes, and ongoing services may involve additional charges. Relevant costs and responsibilities will be explained before commitment.
6. Design revisions
Website design projects include unlimited design revisions within the agreed scope until final design approval, unless an individual proposal specifies a different arrangement.
This does not include new pages, additional integrations, new functionality, fundamental scope changes, or redesigns requested after final approval.
Changes outside the agreed scope may be quoted separately. CleverBrands will not charge for additional work without the client's prior agreement.
7. Client responsibilities
Clients agree to provide accurate information, timely feedback, necessary content, and access to systems where required.
Clients must have appropriate rights or permissions for materials supplied to CleverBrands, including images, text, branding, and third-party information.
Clients are responsible for reviewing and approving the accuracy of their final business information and content.
8. Project timelines and inactivity
Project schedules are estimates unless a specific deadline is expressly agreed.
Timelines may change when approvals, materials, access, or feedback are delayed.
If a client remains inactive for 30 days, CleverBrands may pause the project after providing a written reminder.
Work will resume according to available scheduling capacity. Any additional costs must be agreed in advance.
9. Cancellations and refunds
CleverBrands provides customized creative and technical services.
Where legally permitted, completed work and costs properly committed to an agreed project are generally not eligible for discretionary refunds.
However, nothing in these Terms limits mandatory statutory rights, including consumer withdrawal rights, remedies for non-conforming services, or other protections that cannot legally be excluded.
For eligible EU consumer distance contracts, consumers generally have a 14-day withdrawal period from the conclusion of a service contract.
If a consumer expressly requests that services begin during an applicable withdrawal period and then withdraws, a proportionate charge may apply to services already provided, where legally permitted and where the necessary information and formalities have been satisfied.
The right of withdrawal may be lost after a service has been fully performed only where the applicable legal conditions, including required consent and acknowledgment, have been met.
CleverBrands will provide any required pre-contractual withdrawal information and cancellation procedure. Where legally required, a model withdrawal form will also be made available.
Business-to-business cancellation arrangements may be specified separately in the accepted proposal.
10. Website ownership and intellectual property
Following full payment, clients receive ownership of the original custom website deliverables created specifically for their project, to the extent those rights are transferable and expressly included in the agreement.
CleverBrands retains ownership of pre-existing materials, reusable frameworks, templates, tools, processes, and other general-purpose components.
Open-source software, themes, plugins, fonts, images, APIs, and third-party services remain subject to their applicable licences.
Any permissions needed to use retained components within the delivered website will be defined in the project agreement.
11. AI and automation services
CleverBrands may design and implement AI assistants, workflow automations, integrations, and related tools.
The agreed proposal will define the intended functionality, relevant systems, testing, access requirements, responsibilities, and limitations.
AI-generated outputs may be incomplete, inaccurate, or unsuitable for particular situations. Clients should maintain appropriate human oversight, especially for consequential decisions, customer communications, and sensitive information.
CleverBrands will exercise reasonable care in providing its agreed services and address issues in accordance with the contract and applicable law.
Third-party AI services may change their features, prices, availability, and terms. Where relevant, clients will be informed of material dependencies and usage costs.
AI monitoring, ongoing improvements, and support are not included indefinitely unless covered by an agreed ongoing service.
12. Hosting, domains, and third-party services
Clients may manage their own hosting, domains, and third-party software, or choose managed services through CleverBrands.
The accepted proposal will define ownership, billing, access arrangements, renewal responsibilities, and included support.
CleverBrands is not responsible for client-managed renewals or third-party outages outside its agreed responsibilities, without affecting liability that cannot legally be excluded.
13. Website Care and AI Care
Optional ongoing care services are billed monthly in advance unless otherwise agreed.
Clients may cancel before the next renewal, and services ordinarily remain available until the end of the paid billing period.
Partial-period refunds are not routinely offered, except where required by law or the agreed contract.
Each subscription defines its included tasks, service limits, response expectations, external costs, and exclusions. Additional work requires separate approval.
After cancellation, the treatment of accounts, access, data, integrations, and handover will follow the agreed service terms and applicable law.
14. Testing and launch
CleverBrands will carry out the testing agreed for the relevant project.
Clients may be asked to review deliverables and provide approval before launch or handover.
A website or automation solution may depend on third-party systems, hosting environments, browsers, and external APIs. Perfect uninterrupted availability cannot be guaranteed.
15. Responsibility and liability
CleverBrands will provide its services with reasonable skill and care and comply with applicable legal obligations.
Neither party is responsible for matters beyond the obligations it has accepted, subject to applicable law.
Any contractual limitations of liability must be lawful, fair, and consistent with mandatory consumer protections.
Nothing in these Terms excludes or limits liability that cannot legally be excluded.
16. Consumer rights and complaints
Consumers retain all mandatory legal rights applicable to their contracts.
If you have a concern about a service, please contact CleverBrands through our website so we can review it and seek an appropriate resolution.
17. Governing law
Any disputes or questions regarding the interpretation of these Terms will be handled in accordance with applicable law and the relevant contractual arrangements.
Mandatory consumer protections and applicable jurisdictional rights remain unaffected.
18. Changes to these Terms
We may update these general Terms. An accepted project agreement will not be changed retroactively merely because this website page is updated.
